Acceptance of Terms

By registering for, accessing, or using the Velodine platform and any related services (collectively, the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms, and references to “you” include both you individually and that business.

If you do not agree to these Terms, you must not use the Service.

Definitions

“Velodine” refers to Outshade Digital Media Pvt. Ltd., a company incorporated under the Companies Act, 2013.
“Platform” means the Velodine website at velodine.in and all associated subdomains, APIs, and software.
“Merchant” means any business or individual who registers for a Velodine account to create and publish a catalog.
“Catalog Visitor”means any person who views a Merchant’s published catalog through the Platform.
“Content” means all data, text, images, product information, and other material that a Merchant uploads to the Platform.
“Subscription” means the paid plan a Merchant chooses to access certain features of the Platform.

Eligibility

To use Velodine, you must:

Be at least 18 years of age.
Be capable of entering into a legally binding contract under the Indian Contract Act, 1872.
Operate a legitimate business in India or provide products/services that are legal under Indian law.
Not be barred from receiving services under any applicable law or regulation.
Provide accurate, current, and complete registration information.

Velodine reserves the right to refuse service to any entity at its discretion, including where we believe the intended use violates these Terms or applicable law.

Account Registration & Security

You must create an account to use the Merchant features of Velodine. You agree to:

Provide truthful, accurate, and up-to-date information during registration and keep it current.
Maintain the confidentiality of your password and any authentication tokens. You are solely responsible for all activity that occurs under your account.
Immediately notify us at support@velodine.in if you suspect any unauthorized access to your account.
Not share your account credentials with anyone outside your authorized team members (who should be invited via the team management feature).

Velodine will not be liable for any loss resulting from unauthorized account access due to your failure to safeguard your credentials.

Description of Service

Velodine provides a multi-tenant SaaS platform that allows Merchants to:

Create, manage, and publish digital product catalogs accessible at a Velodine subdomain or a custom domain.
Accept and manage product inquiries and quote requests from Catalog Visitors.
Invite team members to collaboratively manage the catalog.
Access analytics, lead management, and other features as included in their chosen Subscription plan.

Velodine is a catalog and lead capture platform only. We do not process sales transactions between Merchants and their customers, handle logistics, or take any commission on sales. Velodine is not a party to any transaction between a Merchant and a Catalog Visitor.

Acceptable Use

You agree to use the Service only for lawful purposes and in a manner that:

Does not violate any applicable local, national, or international law or regulation in India.
Does not infringe the intellectual property rights of any third party.
Is not deceptive, misleading, fraudulent, or likely to mislead Catalog Visitors about products, prices, or business identity.
Does not harm, threaten, harass, or discriminate against any person or group.
Does not attempt to interfere with the normal operation of the Platform or other users’ accounts.

Prohibited Activities

The following activities are strictly prohibited on Velodine:

Listing or promoting products or services that are illegal under Indian law, including but not limited to controlled substances, counterfeit goods, weapons, and materials that violate copyright.
Using the Platform to conduct phishing, spam, or unsolicited commercial communications.
Attempting to scrape, crawl, or extract data from the Platform through automated means without our prior written consent.
Reverse engineering, decompiling, or attempting to extract the source code of the Platform.
Creating multiple free trial accounts to circumvent plan limits.
Using the Service to store or transmit malicious code, viruses, or any software designed to disrupt, damage, or gain unauthorized access to systems.
Impersonating another business or person, or misrepresenting your affiliation with any entity.
Publishing misleading pricing, fake reviews, or fabricated testimonials in catalogs.

Violation of this section may result in immediate account suspension or termination without refund, and may be reported to appropriate law enforcement authorities.

Your Content

You retain full ownership of all Content you upload to Velodine (product images, descriptions, pricing, etc.). By uploading Content, you grant Velodine a non-exclusive, worldwide, royalty-free license to host, display, and deliver that Content solely for the purpose of providing the Service to you and your Catalog Visitors.

You represent and warrant that:

You own or have the necessary rights to all Content you upload, including rights to any product images.
Your Content does not infringe any third-party intellectual property rights, contain defamatory material, or violate any law.
Product information (names, descriptions, prices, availability) you publish is accurate and not misleading to consumers.

Velodine may remove any Content that violates these Terms or applicable law without prior notice. We are an intermediary under the IT Act and are not responsible for Content uploaded by Merchants.

Intellectual Property

The Velodine platform, including its design, source code, algorithms, branding, trademarks, and all original content created by Velodine, is owned by Outshade Digital Media Pvt. Ltd. and is protected by Indian and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for your internal business purposes. You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform without our prior written consent.

“Velodine” and the Velodine logo are trademarks of Outshade Digital Media Pvt. Ltd. Nothing in these Terms grants you any right to use our trademarks without our express written permission, except as permitted by the “Powered by Velodine” attribution displayed on Trial and Starter plan catalogs.

Payments & Subscriptions

Subscription payments are processed by Razorpay (a third-party payment gateway licensed by the Reserve Bank of India). Velodine does not store your full payment card details.

Billing cycle: Subscriptions are billed monthly or annually in advance, as selected at checkout.
Auto-renewal: Subscriptions auto-renew at the end of each billing period. You can cancel auto-renewal at any time from your billing settings.
Price changes:We will give 30 days’ advance notice of any price changes by email and dashboard notification. Continued use after a price change constitutes acceptance.
GST: All prices displayed are exclusive of GST (18% as applicable). GST is added at checkout and reflected in invoices issued to your registered GSTIN, where provided.
Failed payments: If a scheduled payment fails, we will retry up to 3 times over 7 days. If payment is not recovered, your account will be downgraded to the Trial plan and catalog visibility may be limited.

Plan Limits & Upgrades

Each Subscription plan includes specific limits on:

Number of products in the catalog
Number of team member seats
Number of locations
Custom subdomain availability
Custom domain (CNAME/apex) availability

Plan limits are enforced by the Platform. Attempting to circumvent plan limits (e.g., through API manipulation) is a violation of these Terms. You can upgrade your plan at any time; the upgrade takes effect immediately and you are charged a pro-rated amount for the remainder of the current billing period.

Service Availability

Velodine aims to provide a highly available service but does not guarantee 100% uptime. The Platform may be temporarily unavailable due to:

Scheduled maintenance (we will endeavour to provide advance notice).
Unplanned infrastructure incidents.
Outages at third-party providers (Supabase, Cloudflare, etc.).
Force majeure events.

We do not provide Service Level Agreement (SLA) credits on any plan at this time. Planned downtime windows will be communicated via email and our status page.

Termination

By You

You may cancel your account at any time from the billing settings. Upon cancellation, your account and catalog will remain active until the end of the current paid period, after which access will be removed. See our Refund Policy for details on refunds.

By Velodine

We may suspend or terminate your account immediately and without prior notice if:

You violate these Terms or our Acceptable Use policy.
We believe continued service poses a risk to other users, the platform, or third parties.
Required to do so by law or court order.
Your account has been inactive for more than 12 months on a free plan.

Effect of Termination

Upon termination, your catalog will be taken offline and your access to the admin panel will be revoked. You may request a data export before termination. Velodine will delete your data per the retention schedules described in our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by applicable Indian law:

Velodine’s total liability to you for any claim arising under or related to these Terms or the Service shall not exceed the total Subscription fees paid by you in the 3 months immediately preceding the event giving rise to the claim.
Velodine is not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of business, even if advised of the possibility of such damages.
Velodine is not liable for disputes, transactions, or communications between Merchants and their Catalog Visitors.
Velodine is not responsible for the accuracy of Content published by Merchants in their catalogs.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Indemnification

You agree to indemnify, defend, and hold harmless Outshade Digital Media Pvt. Ltd. and its officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of the Service or violation of these Terms.
Content you post, including any claim that your Content infringes third-party intellectual property rights or is misleading.
Any dispute between you and a Catalog Visitor that arises from your catalog or business practices.
Your violation of any applicable law or regulation.

Disputes & Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

In the event of a dispute arising from or relating to these Terms or the Service, both parties agree to attempt to resolve the dispute through good-faith negotiation for a period of 30 days before initiating formal proceedings.

If the dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

For consumer disputes, nothing in these Terms affects your rights under the Consumer Protection Act, 2019.

Modifications to Terms

Velodine reserves the right to modify these Terms at any time. For material changes, we will provide at least 14 days’ notice by email and dashboard notification before the changes take effect. For minor changes (typo corrections, clarifications that do not affect your rights), we may update without notice.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree, you must discontinue use and may request account deletion.
